These Terms of Service (as amended from time to time, the "Terms"), accessible at https://flowith.io/compliance/terms-of-service, including any policies incorporated by reference, govern your use of the services provided by Flowith Technologies Pte. Ltd., a Private Company Limited by Shares incorporated in the Republic of Singapore ("Flowith", "we", "us", "our"). By accessing or using our services, including the website accessible at https://flowith.io/ and all its subdomains and subpages operated by Flowith (collectively, the "Websites"), platforms, applications, and all related services (collectively, the "Services"), you (the individual accessing or using the Services through an account, "you", the "user") agree to be legally bound by these Terms.

In addition, when using certain services, you will be subject to any additional terms applicable to such services that may be posted on the Websites from time to time, including, without limitation, the Privacy Policy, accessible at https://flowith.io/compliance/privacy-policy. All such terms are hereby incorporated by reference into these Terms of Service.

1. Acceptance of Terms

By accessing or using the Services or by clicking to accept the Terms of Service when this option is made available to you in the Services, you confirm that you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy. If you disagree with any of these Terms of Service or the Privacy Policy, you must not access or use the Services.

2. Beta Software

"Beta Software" refers to features, services, or content that are not generally available to all users. We may offer Beta Software at our sole discretion and may modify or suspend access to it at any time without prior notice to you. Beta Software is provided "as is" and "as available", with no warranties of any kind, express or implied. You acknowledge that Beta Software may be unstable, incomplete, or contain errors, and you use it entirely at your own risk. Flowith shall not be liable for any issues arising from Beta Software.

3. Use of Services

The Services may include a platform for artificial intelligence (AI) conversations, text-to-image generation, text-to-audio generation, and creation and management of AI workflows and tasks. An account means a user-specific digital profile created by the user through online registration on our Websites that enables access to our Services or parts of our Services, which includes credentials (e.g., email address and password) and associated personal information provided by the user.

You agree that:

  • (a) you will use the Services solely for lawful and legitimate purposes;
  • (b) you are solely responsible for all content you submit, use, or generate via the Services;
  • (c) you will not share your account access with any third party; and
  • (d) you comply with all applicable laws, including those related to intellectual property, data privacy, and export controls.

You acknowledge that Flowith is not responsible for the accuracy, completeness, or legality of any outputs generated by the Services.

4. Intellectual Property Rights

Flowith retains all rights, title, and interest in the Services, including but not limited to underlying algorithms, workflows, and proprietary technology. All content, Software, and materials provided as part of the Services (including text, graphics, logos, code, algorithms, databases, and proprietary technology) are owned by Flowith or its licensors and protected under copyright, trademark, patent, and other intellectual property laws. You acquire no rights to these materials except as expressly permitted herein. Unauthorized access, reverse engineering, modification, distribution, or commercial exploitation of Flowith's Services is strictly prohibited without prior written consent from Flowith.

5. Fees and Refunds

All fees for paid Services are non-refundable except where expressly required by applicable law. Subscription terms, pricing, and cancellation instructions are clearly disclosed on our Websites. You may cancel paid subscriptions at any time before the next billing cycle; however, no refunds will be issued for partial periods of service.

6. Service Availability and Limitation

We make no guarantee regarding the availability or uptime of the Services. We may, at any time and at our sole discretion, modify, suspend, or discontinue any part of the Services (including users' access to such part of the Services) without prior notice.

7. Prohibited Conduct and Consequences

You agree NOT to engage in ANY of the following prohibited conduct:

  • (a) Unauthorized Access or System Interference, including:
    • (i) Attempting to access, bypass, disrupt, or compromise Flowith’s systems (including security mechanisms) through any means;
    • (ii) Unauthorized use of APIs, data scraping, reverse engineering, exploitation of vulnerabilities, or any other method to bypass or tamper with official access channels; or
    • (iii) Accessing Flowith’s data or systems without prior written authorization;
  • (b) Prohibited Content Generation and Distribution, including:
    • Creating, generating, distributing, or promoting content that:
    • (i) Involves sexual abuse material or grooming for sexual purposes;
    • (ii) Contains pornography, or any sexually explicit, obscene, indecent, intimate, gratifying, or humiliating material;
    • (iii) Constitutes hate speech, threats of violence, terrorism, infringement, harmful content, or any other illegal content; or
    • (iv) Facilitates fraud, scams, impersonation, or malicious deception;
  • (c) Account and Resource Abuse, including:
    • (i) Sharing your account access with third parties;
    • (ii) Deliberately exceeding or bypassing model request rate limits provided by Flowith;
    • (iii) Consuming excessive system resources (e.g., excessive requests, data processing) that degrade service quality for other users; or
    • (iv) Any conduct intended to disrupt, damage, or impair the Services.

Consequences for Violations:

In the event that we determine or reasonably believe that, to any extent, you have misused the Services by engaging in any prohibited conduct listed above, Flowith reserves the right, in its sole discretion and without prior notice, to:

  • (a) Restrict or deny your access to the Services;
  • (b) Immediately suspend or terminate your account and access to the Services;
  • (c) Retain all fees paid by you with no refunds available; and
  • (d) Pursue legal remedies.

8. AI Content and User Responsibilities

You acknowledge and agree that AI-generated outputs may contain inaccuracies, biases, or errors, and that you are solely responsible for verifying the accuracy, legality, and appropriateness of AI-generated outputs before using them. Flowith makes no warranties about AI outputs and disclaims all liability for their reliability, accuracy, completeness, or suitability for any purpose.

Flowith grants you a limited, non-exclusive license to use AI-generated outputs from your inputs solely for your own purposes. You retain ownership of your inputs and may use AI-generated outputs for personal or commercial purposes, subject to applicable laws. You agree to comply with the Terms of Service and usage policies of any third-party AI models integrated into our Services. If you do not agree with such third-party terms, you must discontinue use of the affected features in the Services.

You hereby grant Flowith a limited license to process all of your inputs and subsequent AI outputs for providing the Services to you.

9. Warranties and Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by applicable law, Flowith disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy or completeness of AI outputs. Some jurisdictions do not allow such disclaimers; in such cases, these disclaimers may not apply to you.

10. Limitation of Liabilities

In no event shall Flowith or its affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, data loss, or business interruption) arising from your use of the Services, whether in contract, tort (including negligence), or otherwise. Flowith's total aggregate liability shall not exceed the amount actually paid by you for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnifications

You agree to indemnify, defend, and hold harmless Flowith Technologies Pte. Ltd., its affiliates, officers, directors, employees, and agents from all claims, damages, liabilities, costs (including reasonable legal fees), and expenses arising out of:

  • (a) Your breach of these Terms;
  • (b) Your misuse of the Services or any content you submit, generate, or distribute;
  • (c) Your violation of third-party intellectual property rights, data protection laws, or other legal obligations; or
  • (d) Any claim relating to your use of AI-generated outputs.

Flowith reserves the right to assume exclusive defense and control of any matter subject to indemnification by you.

12. Governing Laws and Dispute Resolution

These Terms and any dispute arising from these Terms shall be governed exclusively by the laws of Singapore without regard to its conflict of law provisions. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Singapore. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Geographic Restrictions

The Services are not offered or intended for use in the following regions: Mainland China, Russia, Iran, North Korea, Syria, Cuba, and Crimea (a disputed region of Ukraine). Flowith does not solicit users in these regions. You represent and warrant that you are not located in any of these restricted regions when accessing or using the Services. If you access the Services from a restricted region, your use is unauthorized and Flowith reserves the right to immediately suspend or terminate your account without prior notice.

14. Changes to Terms

We may modify these Terms at any time, with the updated Terms accessible at https://flowith.io/compliance/terms-of-service. Material changes to the Terms will be communicated to you via email or by a notice on our Websites. Your continued use of the Services after the effective date (stated at the top of these Terms) of the revised Terms constitutes your acceptance of such changes. If you do not agree to the revisions, you must stop accessing or using our Services immediately.
